Terms of Service

Last updated: April 10, 2026 · By using SemiLayer you agree to these terms.

1. Acceptance

These Terms of Service (“Terms”) govern your access to and use of SemiLayer's software, APIs, documentation, and related services (“Services”), provided by SemiLayer, Inc. (“SemiLayer”, “we”, “us”). By accessing or using the Services you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Services

SemiLayer provides an intelligence layer for any database, including semantic search, live streaming, vector indexing, and a generated typed client (Beam). We offer:

  • SemiLayer Cloud — managed SaaS at api.semilayer.com and console.semilayer.com.
  • Self-hosted Enterprise — Docker-based deployment on your own infrastructure under a separate enterprise agreement.
  • Open-source packages — published to npm under the @semilayer scope, governed by their respective licenses.

We may modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.

3. Accounts

You must create an account to use the managed SaaS. You are responsible for maintaining the confidentiality of your API keys and credentials and for all activity that occurs under your account. Notify us immediately at root@semilayer.dev if you suspect unauthorized access.

4. Acceptable Use

You may not use the Services to:

  • Violate any applicable law or regulation
  • Transmit malware, spam, or other harmful content
  • Attempt to gain unauthorized access to our systems or other customers' data
  • Reverse-engineer or extract our proprietary embedding models or infrastructure
  • Resell or sublicense the Services without a written reseller agreement
  • Use the Services in a manner that disrupts or impairs availability for others

We reserve the right to suspend accounts that violate this policy without notice.

5. Payment and Billing

Paid plans are billed monthly or annually in advance via Stripe. Prices are listed on our pricing page. We may change prices with 30 days' notice. Overages above your plan's included quota are billed at the rates displayed in the Console. All amounts are in USD and non-refundable except as required by applicable law.

Free tier usage is provided as-is with no uptime commitment. We may discontinue or modify the free tier at any time with 30 days' notice.

6. Your Data

You retain ownership of your source data. SemiLayer reads your Postgres data only during ingest to compute embeddings. We do not store your raw rows — only vector representations and metadata fields you configure. You may delete your data at any time through the Console or API.

By using the Services, you grant SemiLayer a limited license to process your data solely to provide the Services to you.

7. Privacy

Our Privacy Policy describes how we collect, use, and share information. By using the Services you agree to the collection and use of information as described in the Privacy Policy.

8. Intellectual Property

SemiLayer and its licensors own all intellectual property rights in the Services, including the platform software, UI, documentation, and trademarks. Nothing in these Terms grants you any rights in our intellectual property except the limited license to use the Services as described herein.

Open-source packages published under the @semilayer npm scope are governed by their respective licenses (typically MIT or Apache 2.0) and are not restricted by these Terms.

9. Warranty Disclaimer

The services are provided “as is” without warranty of any kind. To the fullest extent permitted by law, SemiLayer disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

SemiLayer's aggregate liability for any claims is limited to amounts you paid in the 12 months preceding the claim. In no event will SemiLayer be liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

You may cancel your account at any time through the Console. We may terminate or suspend your account for material breach of these Terms with notice, or immediately for violations of Section 4. Upon termination, your access to the Services will cease. Sections 6, 8, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Disputes will be resolved in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time with at least 30 days' notice of material changes. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
